A standardized and rational governance structure is the cornerstone of an enterprise’s e?cient operation. In strict accordancewith the, the , the , the , and relevant laws and regula-tions released by the China Securities Regulatory Commission, Will Semiconductor has built the corporate governance structureand mechanism. The Shareholders Meeting, the Board of Directors and the Board of Supervisors are the supreme governing body,executive body and supervisory body of the Company. The three bodies and the senior management perform their respectiveduties with mutual collaboration as well as with checks and balances, forming a scienti?c and e?cient business decision-makingmechanism for operation.There are four special committees under the Board of Directors, i.e., the Audit and Related Party Transaction Control Committee,the Strategy and Development Committee, the Nomination Committee and the Remuneration and Appraisal Committee. Thesefour committees give full play to their professional roles in the Company’s operation and management. During the ReportingPeriod, the Company has revised its government systems, such as the, the, the, the  and the, in accordance with relevant laws and regulations, including the . These revisions include clearer guidelines for the “independence” of independent directorsto avoid signi?cant con?icts of interest. Additionally, the Company has adjusted the responsibilities of independent directors tofocus their duties and has established a dedicated section for performance assurance. This section provides necessary workingconditions and personnel support to ensure that independent directors can make meaningful contributions to corporate gover-nance.

Will Semiconductor attaches great importance to the diversity and independence of the Board ofDirectors, believing that a Board of Directors with diverse member backgrounds can provide new per-spectives on corporate governance, improving the board’s decision-making and problem-solvingcapabilities. We have developed the Board Diversity Policy, and the Nomination Committee shall takeour business model and speci?c needs into account when selecting director candidates, and propos-ing improvement advice. The Nominating Committee selects director candidates based on a varietyof criteria, including but not limited to gender, age, race, language, culture background, educationalbackground, industry experience and professional skills. During the Reporting Period, we added anew female director to the Board of Directors, bringing more diverse views and perspectives to it.In addition, we believe that in the event of a potential material interest con?ict, independent direc-tors can facilitate the Board of Directors to make decisions that protect the overall interests of theCompany as well as the legitimate rights and interests of small and medium shareholders. Therefore,we have been improving the powers and duties of independent directors. As of the end of the Report-ing Period, we had a total of ? independent directors. The Audit and Related Party Transaction Con-trol Committee and the Remuneration and Appraisal Committee under the Board of Directors werechanged to both composed of independent directors, e?ectively enhancing the independence ofthese professional committees.

Good investor relations lay a foundation for gaining investors’ trust. To make information moretransparent for our investors, we communicate with them in various ways, such as regularly releasingreports, arranging performance presentations, answering investors’ calls, and responding to inves-tors’ inquiries on the e-interactive platform of Shanghai Stock Exchange. Putting integrity and compliance at the core of sustainable development and business operations. The Company strictly followsthe relevant laws and regulations of business locations and have established and publicized policies such as the , the , and the. These documents state detailedrequirements on anti-money laundering, anti-corruption, anti-bribery, interest con?icts, protection of trade secrets, and insidertrading, enabling us to uphold high integrity in our business activities.

Will Semiconductor has established a comprehensive top-down mechanism for regulating business conducts. The internal auditdepartment is responsible for monitoring and ensuring the implementation and enforcement of business conduct and ethicalstandards. At the same time, to ensure that all employees can fully understand and adhere to integrity in daily work, we conductpolicy interpretation training for them. All employees are also required to sign the commitment letter to con?rm that they haveread and understood the , the and other documents. As of the end of theReporting Period, ???% of our employees had signed the commitment letter.

As an international semiconductor design company, Will Semiconductor has established a three-dimensional trade compliancereview mechanism, which “led by the legal department, coordinated by the business department, and assisted by externallawyers”, to ensure that our global operations comply with applicable export control and economic sanctions regulations. TheCompany has established a long-term cooperative relationship and stable communication mechanism with professional tradecompliance lawyers and will continuously seek professional advice from external lawyers on trade compliance-related issues fromtime to time to further improve the Company’s trade compliance work.

In addition, our business ethics requirements are also applicable to our partners such as agents, contractors and consultants.During the Reporting Period, we established the to clearly communicate our ethical requirements to sup-pliers. Will Semiconductor provides annual training for directors and all employees on the annual corporate managementpolicy to foster a work environment of compliance, integrity and self-discipline. During the Reporting Period, the busi-ness ethics training conducted by the Company covered the core system of business ethics and the newly added systemdocuments, including  etc.

Will Semiconductor maintains “zero tolerance” attitude to bribery andcorruption. Based on periodic risk assessments of critical areas thatare prone to bribery and corruption, we review and improve relevantpolicies and measures. Every year, the Company’s Audit Departmentassesses and analyzes key points based on the results of corrup-tion/bribery complaints, aiming to minimize such incidents, maintainthe Company’s image and credibility, and ensure operation compli-ance of the Company. In addition, we have established robust docu-ments/records archiving policies, under which we properly recordtransactions and activities. To solidify the protection of the interests of customers, employees, shareholders, partners, suppliers and communities, the Com-pany has made public the whistleblower channel (whistleblower@ovt.com). In this way, stakeholders are encouraged to contactus if they ?nd any violations of business conduct codes or norms by Will Semiconductor’s employees or partners.The internal audit department is responsible for conducting fact investigation upon receipt of any reports of suspected violationsof business ethics. The internal audit department shall, based on the nature and content of the reported incident, designateinvestigators within the Company who have no con?ict of interests with respect to the incident or quali?ed external investigatorsto conduct the investigation. Once the fact is con?rmed, the Company will, depending on the severity of the case, take measuresagainst the violators, such as disciplinary actions, dismissal, and termination of cooperation. In this way, we promote the employ-ees and partners to abide by business ethics in daily operations. In addition, to protect whistleblowers and witnesses from harass-ment, accusation or retaliation or being victimized as a result of reporting, the Company keeps their identities strictly con?den-tial.







Internal controls are critical to ensure legal compliance in business management and to facilitate the implementation of the Com-pany’s strategies. Will Semiconductor, based on clear segregation of duties, carries out internal controls annually in accordancewith the provisions of the and the Company’s internal control manuals.

During the Reporting Period, the Company determined the major units, businesses and matters in the assessment based on therisk-oriented principle, the operating conditions of the enterprises. During the assessment, we focused on high-risk matters likecapital activities, procurement business, marketing business and related party transactions. The Company will continue toenhance our awareness of risk management and promote risk management and internal control, aiming to secure sustainabledevelopment and move towards strategic and operational goals.

Will Semiconductor is committed to responsible business practices that contribute to the sustainable development of itself andsociety. To this end, the Company established a three-tier ESG governance structure consisting of the Board of Directors, ESGCommittee and ESG Working Group. The clearly de?ned responsibilities for each level enable the overall supervision, manage-ment, and implementation of ESG plans and ensure a smooth progression of the Company’s ESG strategy and targets. Con?ict minerals have always been an important issue to be managed in the process ofbuilding sustainable supply chains, due to the vulnerability of funds ?owing to illegal armed groups in the extraction, smelting,and transportation of ?TGs, which indirectly leads to human rights violations, environmental degradation, and other problems.Will Semiconductor actively ful?lls its corporate social responsibility by resolutely not using con?ict minerals directly or indirectlyfrom the Democratic Republic of the Congo and its neighboring countries. We require all suppliers to refrain from using con?ictminerals in products and conduct due diligence on an on-going basis, focusing on the source of their mineral raw materials. Will Semiconductor strictly complies with the relevant laws and regulations of the countries or regions where we operate, such asthe, the , the , and the. At the same time, we have developedinternal systems such as the , striving to constantly reduce the impact ofour operations on the environment.Will Semiconductor’s emissions mainly come from the Shanghai Songjiang Park where its subsidiaries OmniVision Semiconduc-tor and OmniVision Optoelectronics are located. The Park has successfully obtained the ISO????? Environmental ManagementSystems Certi?cation.

Will Semiconductor continues to strengthen the standardized management of various types of waste. Non-hazardous solid wasteis classi?ed and uniformly treated by quali?ed recycling companies. For hazardous waste, the Company has developed an annualhazardous waste management plan and entrusted professional disposal companies to regularly remove and legally treat thiswaste. At the same time, we also require contractors to classify and dispose of waste according to relevant national laws, regula-tions and contract requirements to avoid secondary environmental pollution. In addition, we set up waste collection containers atdesignated locations in our o?ce, which are divided into non-recyclable, recyclable, dry and wet and hazardous waste. During the reporting period, Shanghai Songji-ang Park used Manufacturing Execution Sytem (MES), an electronic alternative to text recording forms, and the use of dust-freepaper decreased by ??% year-on-year.

During the Reporting Period, Shanghai Zhangjiang Park and Songjiang Park added digitalidenti?cation codes and OR codes tohazardous wastes in accordance with the issued by the Minis-try of Ecology and Environment of the People's Republic of China. The Shanghai Songjiang Industrial Park is committed to maximizing the water resources to achieve sustainable man-agement. During the Reporting Period, we explored various technologies and practices related to wastewater reuse. Atotal of ???,??? tonnes of water were reused, with an average annual wastewater reuse rate of about ??%:

Dicing wastewater can be used for cooling towers and toilet water after being treated by immersion ultra?ltration tech-nology and reverse osmosis membrane technology, to minimize the demand for tap water. During the Reporting Period,the recycling rate of dicing wastewater at Shanghai Songjiang Park reached ??%;Wastewater from the grinding and cleaning processes is pretreated through chemical precipitation, ultra?ltration, andother technologies, and then further treated using reverse osmosis membrane technology. It can be used to supplyequipment or processes that require puri?ed water. During the Reporting Period, the reuse rate of grinding and cleaningwastewater at Shanghai Songjiang Industrial Park was ??%;??RO concentrated water is a kind of organic wastewater with complex composition, high insolubility and high salt con-tent. During the Reporting Period, the reuse rate of RO concentrated water reuse system at Shanghai Songjiang Parkreached ??%, e?ectively reducing water resource consumption and wastewater discharge.

For non-recyclable wastewater, we have designated a special area within the park as a wastewater treatment station. During theReporting Period, we adjusted the sampling frequency of on-line monitoring under ?ow conditions in accordance with the  (HJ ???-????), increasing from once every ? hours to onceevery hour. This enhances the monitoring of wastewater and ensures that it is treated to meet standards before being dischargedinto the municipal sewage network for uniform treatment. We have developed a self-monitoring program to ensure that the quali-ty of wastewater discharged meets relevant standards, and regularly invite quali?ed third-party monitoring agencies to conductcomprehensive monitoring of wastewater discharge. During the Reporting Period, a new wastewater treatment station and awastewater treatment system were built in Shanghai Songjiang Industrial Park, further expanding the wastewater treatment

During the event, we intro-duced the positive environmental bene?ts of resource recycling to employees by showing related knowledge aboutrecycled products, recycled paper, plastic bottles and milk cartons, as well as data on energy conservation and emissionreduction. In the Shanghai Zhangjiang Park, we also added ?ve garbage cans made from ?,??? recycled and com-pressed milk cartons. Genuinebooks of better quality and condition are exam-ined, cleaned, disinfected, and go through otherprocesses before being returned to circulation asused books.Irreparable and unsuitable books are uniformlycollected, centrally handled, outsourced for pro-cessing, and pulped for regeneration, so as toachieve sustainable reuse of resources.

The supplier carefully sorts and classi?es everysingle item of used clothing collected, and han-dles it through three main steps: environmentalregeneration, used clothing export, and environ-mental remanufacturing.After the clothing is recycled, participants willreceive environmental certi?cates and Ant Forestenergy to encourage employees to actively partic-ipate in green environmental protection activi-ties.
