The year 2023 was a year ofextraordinary significance, a year to fully implement thespirit of the 20th National Congress of the CommunistParty of China, and a year for the rapid recovery anddevelopment of the economy. As one of the largestlisted iron and steel companies in China, HBIS Limitedhas thoroughly studied and implemented Xi JinpingThought on Socialism with Chinese Characteristics for aNew Era, conscientiously implemented the decisions andarrangements of the CPC Hebei Provincial Committee andthe People’s Government of Hebei Province as well as thework requirements of the State-owned Assets Supervision& Administration Commission (SASAC) of the People’sGovernment of Hebei Province. We have strived to improvemanagement and governance with practical efforts,highlighted ecological background with hard work anddedication, and built a harmonious society with missionand responsibility. We will continue to create a newsituation of high-quality development.We have continuously improved the efficiency ofcorporate governance and laid a solid foundation forhigh-quality development this year. HBIS Limited is a super-large iron and steel enterprise established through the merger of the former Tangsteel Corporation, Handan Iron& Steel Company Limited and Chengde Vanadium Titanium. It is registered in Shijiazhuang City, Hebei Province. HBIS Limited is one of thelarge-scale listed steel companies in China. The Company’s products are widely applied in important elds such as automobile, petroleum, railway, bridge, construction, electric power,transportation, light industry and household appliances. More than 200 steel varieties have replaced imported ones. Strengthening management and integrating innovation resources

With scientific and technological innovation as the core, HBIS Limited has further optimized its innovation system, promoted universi-ty-enterprise cooperation, and strengthened intellectual property protection to provide a strong guarantee for enterprise innovation anddevelopment. In 2023, HBIS Limited registered 107 software copyrights and applied for 789 patents, including 380 new authorized patents.

Chengde Vanadium Titanium has made full use of the innovative process technology of vanadium and titanium resources andstrived to develop the highest-grade HRB630E vanadium-containing quality and special steel products. This product is thehighest-grade vanadium-containing aseismic steel bars in China at present. It has excellent characteristics such as high strength,good plasticity and corrosion resistance, which can reduce 15% of the material consumption in the structure. The corporate governance system has been continuously improved. The General Meeting ofShareholders, the Board of Directors, the Board of Supervisors and the management have a cleardivision of labor with clear powers and responsibilities. The decision-making, implementation andsupervision mechanisms have been improved to form a scientific division of labor and effectivechecks and balances among authorities, decision-making bodies, supervisory bodies and operatingbodies.

Based on the requirements of standardized governance of listed companies and in combinationwith the actual situation, the Company revised the Working Rules of the Strategy and ESG Committeeof the Board of Directors, the Working Rules of the Audit Committee of the Board of Directors, theWorking Rules of the Remuneration and Assessment Committee of the Board of Directors, the WorkingRules of the Nomination Committee of the Board of Directors, the Articles of Association and othersystems in 2023. The Board of Directors of the Company has set up a Strategy and ESG Committee, an Audit Committee,a Nomination Committee and a Remuneration and Assessment Committee. The composition of eachcommittee member is scientific and reasonable, which fully plays a professional role in corporategovernance. The convening, holding and voting procedures of the Board of Directors meet therequirements of relevant laws and regulations and play a key role in making decisions on majormatters of the Company. As of the end of 2023, the Company’s Board of Directors consists of 11members, including 1 employee director and 4 independent directors, with an independent directorratio of 36%.

The Company has conscientiously fullled its information disclosure obligations in strict accordancewith relevant laws and regulations and the information disclosure rules of the SZSE, establisheda normalized internal audit process for information disclosure, and continuously improvedthe efficiency and quality of information disclosure. It has ensured the authenticity, accuracy,completeness, timeliness, fairness and legal compliance of information disclosure, and eectivelysafeguarded investors’ right to know. It is convenient for investors to make investment decisions andvalue judgments.

The Company attaches great importance to the communication and exchange with investors, so asto enhance their comprehensive understanding of the Company. During the reporting period, theCompany carefully answered investors’ consultation calls, patiently answered investors’ questions,and maintained the interactive platform of SZSE in a timely manner to ensure smooth communicationchannels between investors and the Company. The Company earnestly carried out on-site researchactivities of institutions, actively participated in the “2023 Collective Reception Day for Investors ofListed Companies in Hebei Province”, and conducted interactive exchanges on issues concernedby investors such as corporate governance, development strategy, business status and sustainabledevelopment.

In 2023, the Company disclosed important matters to investors in a true and detailed mannerthroughChina Securities Journal, Shanghai Securities News, Securities Timesand CNINFO. There areno circumstances that should be disclosed but have not been disclosed. There were no penaltiesfor disclosure violations. The Company effectively prevented the occurrence of insider trading byformulating and implementing systems such as theInsiders’ Registration and Archives ManagementSystemand the External Information Reporting and Utilization Management System.It was notfound that insiders used inside information to buy or sell shares of the Company before disclosingmajor sensitive information aecting the share price of the Company. No regulatory measures andadministrative penalties have been taken by the regulatory authorities due to insider trading.

In 2023, HBIS Limited reorganized the “Strategy Committee of the Board of Directors” into the “Strategyand ESG Committee of the Board of Directors”, optimizing and forming an ESG governance structurecomposed of three levels: the Board of Directors, the Strategy and ESG Committee of the Board ofDirectors and the ESG Working Group.

The Board of Directors is the highest responsible organization for ESG management and publicdisclosure. The Strategy and ESG Committee of the Board of Directors is a dedicated work organizationunder the Board of Directors, which is mainly responsible for studying the Company’s medium andlong-term development strategy, major investment decision-making, ESG strategies and othermatters and putting forward suggestions or plans. Among them, the Strategy and ESG Committeeof the Board of Directors has an office as its daily administrative organization, with functions setup in the Board Office. The office is responsible for daily work liaison and meeting preparation.The ESG Working Group is led by the Strategic Development Department, the Board Oce and theEnvironmental Protection Department to promote ESG-related work.

The Company strengthens the construction of CPC organizations and Party members scales, improvesthe work system for improving Party conduct and government integrity as well as various systemsand inspection mechanisms for combating corruption, and makes clear responsibilities through alist. The Company continuously deepens the “four-responsibilities coordination” working patternof “main responsibility of the Party Committee, the first responsibility of the secretary, specialresponsibility of the Discipline Inspection Commission and ‘one post with two sets of responsibilities’of the leading team members”, to promote new achievements in comprehensively strengtheningParty self-governance. The Company implements the spirit of the eight-point frugality code of theCPC Central Committee, and makes solid progress in “deepening the rectication of ‘four conducts’and special rectification of work style and discipline”. 唐山分公司在高强钢生产过程中添加辅助原料?DRI产品,可减少10%至30%二氧化碳排放,有利于逐步实现长流程减碳生产向短流程生产工艺转变,从源头减少钢铁生产的碳足迹。2023年6月20日,唐山分公司首批添加DRI产品为原料的汽车用低合金高强钢顺利下线,产品成分控制和表面质量均达到预期目标。

Tangshan Branch can reduce carbondioxide emissions by 10% to 30% byadding auxiliary raw materials - DRIproducts in the production process ofhigh-strength steel, which is conduciveto gradually realizing the transformationfrom long-process carbon reductionproduction to short-process productiontechnology and reducing the carbonfootprint of steel production from thesource. On June 20, 2023, the first batchof low-alloy high-strength steels forautomobiles with DRI products as rawmaterials was successfully rolled off theproduction line. 《河钢股份有限公司2023环境、社会及公司治理报告》评级报告受河钢股份有限公司委托,“中国企业社会责任报告评级专家委员会”抽选专家组成评级小组,对《河钢股份有限公司2023环境、社会及公司治理报告》(以下简称《报告》)进行评级。

一、评级依据

中国社会科学院《中国企业社会责任报告指南(CASS-ESG 5.0)》暨“中国企业社会责任报告评级专家委员会”《中国企业ESG报告评级标准(2023)》。

二、评级过程

1.评级小组审核确认《报告》编写组提交的《企业ESG报

告过程性和可及性评估资料确认书》及相关证明材料;

2.评级小组对《报告》编写过程及内容进行评价,拟定评

级报告;

3.评级专家委员会副主席、评级小组组长、评级小组专家

共同签审评级。

Report of HBIS LimitedUpon the request of HBIS Limited, the Chinese Expert Committee on CSR Report Rating invited experts to form a rating panel to rate the2023Environmental, Social and Corporate Governance Report of HBIS Limited(hereinafter referred to as “the Report”).I. Rating BasisGuidelines on Corporate Social Responsibility Reporting for ChineseEnterprises (CASS-ESG 5.0)issued by the Chinese Academy of SocialSciences, andRating Standards for Corporate Social ResponsibilityReporting in China (2023) issuedby the Chinese Expert Committeeon CSR Report Rating.II. Rating Process

1. The rating panel reviews and confirms the

Confirmation Letteron Process and Accessibility Rating Materials of ESG Reportingandassociated materials submitted by the preparation team oftheReport;

2. The rating panel assesses the compilation process and contents

of the Report and prepares the rating report;

3. Vice chairman of the Chinese Expert Committee on CSR Report

Rating, the leader of the rating panel, and the expert of the ratingpanel jointly review and sign the rating report.III.
